1. Grant of Limited, Internal-Use License
Subject to the terms below, Artalytics Inc. (“Licensor”) grants you
a non-exclusive, non-transferable, revocable license to use and modify
this software solely for evaluation or in connection with Artalytics
products and services. No right to distribute, sublicense, or make
the Software available to third parties is granted.
2. Reservation of Rights
Title, ownership and all intellectual-property rights in the Software
remain with Licensor. No rights are granted by implication or estoppel.
3. Trademarks
“Artalytics”, the Artalytics logo, and related marks are trademarks of
Licensor. This License confers no trademark rights.
4. Feedback and Contributions
Any suggestion, enhancement request, or pull-request you submit (“Feedback”)
is licensed—and, where permitted by law, assigned—to Licensor on a
worldwide, royalty-free, irrevocable basis. External contributors must
sign the Artalytics Contributor Assignment Agreement before submission.
5. Confidentiality
The Software and any benchmarks are Artalytics confidential information.
6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE
FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING
OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE.
8. Termination
This License terminates automatically if you breach any term. Upon
termination you must destroy all copies of the Software.
9. Governing Law
This License is governed by the laws of the State of Delaware and the
United States, without regard to conflict-of-law rules.
